These terms
- 1.1 These terms govern membership of SCPMI. By joining, you accept them, together with the Privacy Notice, the Community Guidelines and the Code of Ethics.
- 1.2 SCPMI is the Supply Chain and Procurement Management Institute, registered in the Commonwealth of Massachusetts, United States. In these terms, we and the Institute mean SCPMI. You and the member mean the person joining.
- 1.3 Membership is provided without charge. That is a standing position rather than an introductory offer. Where the Institute introduces a paid tier of membership, it does so in addition to free membership and never in place of it.
- 1.4 What membership includes at any time is published by the Institute and grows as capability is added. The Institute may add to it, and may withdraw or vary any feature, at its discretion, without that being a breach of these terms.
- 1.5 The Institute may decline an application for membership, and need not give reasons.
- 1.6 Where these terms permit the Institute to make a judgment, that judgment is the Institute's to make, exercised reasonably.
02.
Joining
- 2.1 Membership is open to any professional, any team and any organization.
- 2.2 On joining you provide your name as it appears on your passport, a personal email address, a mobile number, at least one industry and at least one area of professional interest. You may provide a work email address.
- 2.3 You tell us the category of membership that applies to you: Student, Professional, Certified Professional, Fellow, Corporate, Academic, or Government and Public Sector. Category is self-declared, and we may verify it.
- 2.4 You confirm that the information you give is accurate, and you keep it up to date. Membership rests on accurate self-declaration.
- 2.5 You are responsible for your account and for anything done through it. You do not share your login.
- 2.6 Where an account is inactive for twenty-four months, we may close it after giving thirty days' notice to the email address on the account. Your credential record is retained so that any credential you have earned remains verifiable.
03.
Verification
- 3.1 We may verify your claimed employer. The Institute is built on real practitioners, and employer identity supports enterprise engagement, partner attribution and the integrity of the community. Verification may be by reference to your work email domain, to public sources, or by asking you.
- 3.2 We may verify your identity, qualifications and experience where a certification scheme requires it, at the point of enrollment, before a credential is issued, and at any time afterwards.
- 3.3 Where a declaration proves materially false, we may correct your record, withhold a credential, withdraw a credential already issued, or end your membership.
- 3.4 Verification is not an endorsement of you by the Institute, and your membership is not an endorsement of the Institute by you or by your employer.
- 3.5 Sanctions and restricted persons. We may screen applicants and members against applicable sanctions and restricted party lists. We may decline membership, withhold a credential, or suspend or end membership, where a person or their organization is subject to a sanction, an export control restriction or a comparable measure, or where providing our services would breach applicable law. We are not obliged to give reasons where doing so would itself breach a restriction.
04.
Your content and what we may do with it
- 4.1 You keep ownership of everything you post, write, present, upload or otherwise contribute.
- 4.2 You grant the Institute a worldwide, perpetual, irrevocable, royalty-free, transferable and sub-licensable license to host, store, reproduce, translate, adapt, excerpt, summarize, publish, display and distribute your contribution, for the purposes set out at 4.3.
- 4.3 Those purposes are: operating and improving the community; seeding, summarizing and surfacing discussion; personalizing what you and other members see; producing research, insight and educational material; developing, training, evaluating and improving automated and machine learning systems used in the Institute's services; and promoting the Institute and its community.
- 4.4 Attribution. Where we publish a contribution outside the community, we attribute it to you unless you ask us not to.
- 4.5 Moral rights. So far as the law allows, you waive any moral rights that would prevent us editing, excerpting, translating or adapting a contribution, provided we do not materially alter its meaning.
- 4.6 Survival. This license continues in respect of contributions already made, after your membership ends, and after these terms are amended or replaced.
- 4.7 Sub-licensing. We may sub-license these rights to our service providers, and to accredited partners, only so far as needed to deliver the Institute's services.
- 4.8 You confirm that you have the right to contribute what you contribute, that it is yours or you are permitted to share it, and that it does not breach anyone else's rights or any obligation of confidence you owe your employer.
- 4.9 We are not obliged to publish, retain or continue to display any contribution, and may remove or decline to display anything at our discretion.
- 4.10 Machine-generated content. Where a contribution is substantially generated by an automated tool, say so. You remain responsible for its accuracy and for the rights in it, whether or not you wrote it yourself.
- 4.11 Your indemnity. You indemnify the Institute against any claim, loss, cost or expense arising from a contribution you make that infringes a third party's rights, breaches a duty of confidence, or breaches these terms. This does not apply where the claim arises from the Institute's own alteration of your contribution.
- 4.12 Notice and takedown. Where a rights holder believes a contribution infringes their rights, they may notify our designated agent at the address published on our website. We will review promptly, remove content where the claim appears well founded, and tell the member. A member may submit a counter-notice. We may end the membership of anyone who repeatedly infringes.
05.
Your profile, and what is public
- 5.1 Participation in the community is verified and attributed. You post under your own identity. There is no anonymous posting.
- 5.2 Your profile is visible to other members. Which elements are visible more widely, and to whom, is set out in the Privacy Notice and may be adjusted in your settings where the Institute provides that control.
- 5.3 Public registers. Where you hold a current SCPMI credential, we may list your name, the credential, its status and its validity dates on a public verification register, open to anyone. A credential that cannot be verified is worth nothing, and this is the mechanism that makes it worth something.
- 5.4 You may ask to be removed from a public register. Removal means the credential can no longer be independently verified.
- 5.5 Aggregate use. We may describe our membership in aggregate and de-identified form, including by reference to the number of members, the industries they work in and the organizations they work for, in our own communications and in enterprise engagement.
06.
Communications
- 6.1 Transactional communications, about your account, your enrollments, your credentials and changes to these terms, are part of membership and continue for as long as you are a member.
- 6.2 Professional and community communications, including events, updates, research and relevant opportunities, are sent only where you have opted in. You choose the frequency at signup and may change it or withdraw at any time.
- 6.3 Withdrawing from professional and community communications does not end your membership and does not stop transactional communications.
07.
Insight, benchmarking and data products
- 7.1 We may use member data, organizational data and assessment findings in aggregated and de-identified form to produce and publish benchmarks, indices, research and industry insight.
- 7.2 Aggregated and de-identified means that the output does not identify you, and that we take reasonable steps to ensure you cannot be identified from it.
- 7.3 This right is central to what the Institute exists to do. A profession cannot be measured without measuring it.
08.
Image, voice and likeness
- 8.1 Where you attend an SCPMI event, webinar or session, whether in person or online, it may be recorded and photographed.
- 8.2 You consent to the Institute recording your image, voice and contribution at such an event, and to its use of that material in its own communications, including marketing, with attribution.
- 8.3 Notice is given at the point of registration for each event, and where practical on the day. If you would rather not appear, tell us and we will take reasonable steps to accommodate that.
- 8.4 We may quote you, with attribution, in testimonials, case studies and communications, where you have given us the quote or made it publicly in the community.
09.
Conduct
- 9.1 You comply with the Community Guidelines and the Code of Ethics.
- 9.2 The community is for practitioners. Commercial participation that dominates a discussion, or that uses the community principally as a sales channel, is moderated out.
- 9.3 You do not misrepresent a credential, a level of membership or a relationship with the Institute.
- 9.4 We may suspend or remove access, remove content, or end membership where these terms, the Community Guidelines or the Code of Ethics are breached. Where we do, the Reporting, Investigation and Discipline Policy applies.
- 9.5 Where the breach is serious, or where there is a risk to other members, to the integrity of a credential or to the Institute, we may act immediately and investigate afterwards.
- 9.6 Events. Where you attend an Institute event, the same standards apply. We may require a person to leave a venue where their conduct warrants it. Where you register for an invitation-only event and do not attend without telling us, we may decline future invitations.
10.
Certification and paid products
- 10.1 Membership is free. Assessed certifications, organizational assessment and certain other products are paid.
- 10.2 We publish the fee for every paid product, and the terms on which it is refundable, before you buy.
- 10.3 A license to a paid program carries access for 365 days from the point access is opened, and is transferable until then.
- 10.4 Completion of a learning program is not a condition of sitting the assessment for the credential it supports. Learning and assessment are sold together and neither gates the other.
- 10.5 Where a payment is not made when due, we may suspend access to the paid product until it is.
11.
Our services
- 11.1 Free content and community services are provided as they are. We do not warrant that they will be uninterrupted, error free, or fit for a particular purpose.
- 11.2 Nothing in the community is professional advice. Members speak for themselves.
- 11.3 We may change, suspend or withdraw any part of the service. Where a change materially reduces what membership includes, we give reasonable notice.
12.
Ending membership
- 12.1 You may end your membership at any time.
- 12.2 We may end it on notice where you breach these terms, or immediately where the breach is serious.
- 12.3 On ending, your access stops. Your credential record is retained so that a credential you have earned remains verifiable. Your contributions remain in the community under the license at clause 4.
- 12.4 The Privacy Notice sets out what we retain, for how long, and what you may ask us to delete.
13.
Liability
- 13.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.
- 13.2 Otherwise, and so far as the law allows, our total liability to you in connection with membership is limited to the amount you have paid us in the twelve months before the claim, or one hundred United States dollars, whichever is greater.
- 13.3 We are not liable for indirect or consequential loss, loss of profit, loss of opportunity or loss of data.
14.
Changes, transfer and general
- 14.1 Changes. We may amend these terms on reasonable notice. Where an amendment materially affects your rights, we will tell you before it takes effect and, where the law requires it, ask you to accept it. Rights already granted under clause 4 in respect of contributions already made are not affected by a later amendment.
- 14.2 Transfer. We may transfer these terms, your membership and the associated data to a successor on a sale, merger, reorganization or change of control, provided the successor is bound by terms no less protective of you. You may not transfer your membership.
- 14.3 Governing law. These terms are governed by the laws of the Commonwealth of Massachusetts, United States, and the parties submit to the non-exclusive jurisdiction of its courts. Where you are resident in the European Economic Area or the United Kingdom, you keep the mandatory protections of the law of your country of residence and may bring proceedings in your local courts.
- 14.7 Waiver. A failure to enforce a provision is not a waiver of it.
- 14.8 No third-party rights. Nobody other than you and the Institute has a right to enforce these terms.
- 14.4 Language. The English text is authoritative. Where a translation is provided and differs, the English governs.
- 14.5 Severance. If any provision is unenforceable, the rest continues.
- 14.6 Whole agreement. These terms, the Privacy Notice, the Community Guidelines and the Code of Ethics are the whole of the arrangement between us in respect of membership.
15.
Notices
- 15.1 We give you notice by email to the address on your account, or by notification within the service. Notice is treated as received twenty-four hours after it is sent.
- 15.2 You give us notice in writing to info@scpmi.org.
- 15.3 Keep your email address current. A notice sent to the address on your account is effective whether or not you read it.
16.
Force majeure
Neither party is liable for a failure to perform caused by something beyond its reasonable control, including natural events, war, civil disturbance, epidemic, industrial action, failure of a utility or a telecommunications network, or an act of government. Where such an event continues for more than sixty days, either party may end the membership on notice.
Changes to this document
- A.1 The Institute may amend this document. A change that is not material takes effect when it is published.
- A.2 Where a change is material, the Institute gives thirty days' notice by email or by notification within the service before it takes effect. The Institute determines, acting reasonably, whether a change is material.
- A.3 Continued use of the Institute's services after the effective date is acceptance of the change. Where the law requires fresh consent, the Institute asks for it, and processing carried out before the change remains valid.
- A.4 Rights already granted to the Institute in respect of content already contributed are not affected by a later change.
- A.5 Every version is numbered, dated and archived. The version in force is published on the website. A previous version is available on request.
